Course Description:
This course will cover the primary forms of business organizations: partnerships, limited partnerships, limited liability companies, and corporations. We will focus on the business and legal issues that arise in connection with the formation, operation, and dissolution of business enterprises. The course will cover the rights and obligations of business owners, fiduciary duties, capitalization of the business, profit distributions, management obligations and disputes, and piercing the corporate veil.In addition to the casebook, we will utilize sample partnership agreements, LLC operating agreements, corporate articles of incorporation, bylaws, and shareholder agreements to illustrate common legal issues and methods of dealing with those issues.
The emphasis will be on theory and its application. No background in business, accounting, or finance is necessary, and all of our problems will be based on simple models that highlight the underlying theory. Our goal is to grapple with the basic policy question of how the law should best facilitate and regulate the establishment and operation of business organizations.
There will be a written final examination.
Students who have taken Business Associations I or Business Associations II will not be allowed to take Business Organizations and receive credit.
